These Terms and Conditions ("Terms") govern your access to and use of the VertiBridge website and accounting, bookkeeping, tax, advisory, and related financial services (collectively, the "Services"). By accessing our website or engaging VertiBridge for any Service, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

VertiBridge provides accounting, bookkeeping, payroll, tax preparation, financial reporting, audit and assurance, valuation, and advisory services to business owners and accounting firms across Australia, Canada, India, the United Kingdom, and the United States.

The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate service agreement or statement of work agreed between you and VertiBridge. Where a signed service agreement conflicts with these Terms, the service agreement governs for that engagement.

You must be authorised to act on behalf of the business or organisation you represent when engaging our Services. You agree to provide accurate, complete, and timely financial information and documentation, and to promptly notify us of any changes that could affect the accuracy of our work.

VertiBridge relies on the information you provide. We are not responsible for errors, delays, or omissions in our deliverables that result from incomplete, inaccurate, or late information supplied by you.

Fees for Services are set out in your engagement letter, quote, or invoice. Unless otherwise agreed in writing, invoices are payable within the timeframe stated on the invoice. Late payments may be subject to a reasonable administrative fee and may result in suspension of ongoing Services.

All content on the VertiBridge website — including text, graphics, logos, templates, and software — is owned by or licensed to VertiBridge and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

Deliverables prepared specifically for you under a service agreement, such as financial reports or filings, are yours to use for your business purposes once fees for that engagement have been paid in full.

We treat the financial and business information you share with us as confidential and will not disclose it to third parties except as required to deliver the Services, as authorised by you, or as required by law or professional obligation.

To the maximum extent permitted by law, VertiBridge's total liability arising out of or relating to the Services is limited to the fees paid by you for the specific engagement giving rise to the claim. VertiBridge is not liable for indirect, incidental, or consequential losses, including loss of profits or data, arising from your use of our website or Services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Either party may terminate an engagement in accordance with the notice period set out in the relevant service agreement. Fees for work performed up to the date of termination remain payable.

These Terms are governed by the laws of the jurisdiction in which your VertiBridge service agreement was entered into, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

We may update these Terms from time to time to reflect changes in our Services or legal requirements. The "last updated" date at the top of this page indicates when these Terms were last revised. Continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.
